Service Agreement
This Service Agreement ("Agreement") is entered into as of June 1, 2026, by and between AZL Marketing ("Service Provider") and Budget Construction Co. ("Client"), represented by William Rivera.
Service Provider agrees to deliver the ongoing maintenance and operations services outlined in the Option 2 (Social & SEO Maintenance) plan of the Proposal, which is hereby incorporated by reference and forms an integral part of this Agreement. These services include:
The term of this Agreement shall commence on June 1, 2026, and shall continue on a monthly basis for 12 months. All services will be delivered continuously with no downtime or gaps in service from Year One.
The total cost for the 12-month program is $24,000. The payment schedule is as follows:
Upon full payment of all outstanding invoices, the Client shall retain ownership of the specific deliverables created solely for the Client under this Agreement. The Service Provider retains all rights, title, and interest in and to its pre-existing methodologies, templates, tools, and proprietary software (including the AZL Flow platform architecture).
Either party may terminate this Agreement with thirty (30) days' prior written notice. Upon termination, the Client shall pay for all services rendered and expenses incurred by the Service Provider up to the effective date of termination.
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws principles.
This Agreement, including the attached Scope of Work Proposal, constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications and proposals, whether oral or written, relating to the subject matter hereof.
